Diurnal Terms of Use

These Terms of Use (the “Terms”) are a legal agreement between you and Shylder LLC (“Shylder,” “we,” “us,” or “our”) concerning your access to and use of the Diurnal Android application and its related Android features (collectively, “Diurnal” or the “Services”).

Please read these Terms carefully. By downloading, accessing, or using Diurnal, or by selecting an option indicating your acceptance, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not access or use Diurnal.

If you use Diurnal on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes both you and the organization.

1. Eligibility

You must be at least 13 years old to use Diurnal. A higher minimum age applies where required by the law where you live. If local law requires parental or guardian authorization to enter these Terms, use a feature, or consent to its data processing, that authorization must be obtained. Accepting these Terms is not a substitute for legally required parental consent or verification. Diurnal is not directed to children under 13, and children under 13 may not use the Services.

You may not use Diurnal if applicable law prohibits you from receiving or using the Services.

2. What Diurnal Does

Diurnal is a personal journaling application for Android. Depending on your device, Android version, app version, permissions, settings, and subscription status, Diurnal may allow you to:

Some features may not be available on every device, operating-system version, language, or in every country. Features may change over time as described in Section 14.

Diurnal Subscription includes supported Android home-screen widget features. Availability depends on a compatible Android device and launcher and the subscription access conditions in Section 7. Separate writing utilities are outside these Terms and are not a browser version of the Android app.

3. Local-First Service; No Diurnal Account Required

Diurnal is designed as a local-first application. Your journal entries and attachments are stored on your device by default. Diurnal does not require you to create a user account with Shylder in order to journal.

If you choose Google Drive backup or synchronization, you will sign in to a Google account. That connection is used for the optional Google Drive feature and does not create a Diurnal account with Shylder. Your Google account and Google Drive are provided and controlled by Google under Google's own terms and privacy policies.

You are responsible for:

App locks, biometrics, encryption, and other safeguards reduce risk but cannot guarantee that data will never be accessed, corrupted, or lost. The app lock limits access through Diurnal using the passcode or Android biometric or device-authentication method you configure; it does not apply to content you export or share or to backup copies in Google Drive. A time lock hides an entry within Diurnal until the date and time recorded by the app. It is an interface-level restriction, not separate cryptographic encryption, and it may be affected or bypassed by changes to the device clock, device data, exported files, backups, software modification, or other access outside the ordinary Diurnal interface.

If you forget a passcode, lose access to a device or Google account, delete data, clear app storage, uninstall the app, replace or reset a device, or experience a device or storage failure, some or all journal data may be unrecoverable. Shylder cannot recover journal data that it does not possess.

4. Privacy, Device Permissions, and Third-Party Processing

Our separate Privacy Policy, available within Diurnal and at https://diurnalapp.com/privacy/, explains how Diurnal handles information. It is incorporated into these Terms by reference. If these Terms conflict with the Privacy Policy concerning the collection, use, or disclosure of personal information, the Privacy Policy controls for that issue.

Diurnal may request access to device features such as the camera, photo library, microphone, speech recognition, files, notifications, location, biometrics, and device storage. You control these permissions through Diurnal and your device settings. Some features will not work if you decline or revoke a required permission.

When you use a feature supplied by another provider, that provider may process information under its own terms and privacy policy. Examples include:

Shylder does not control independent third-party services. This does not exclude any responsibility Shylder has under applicable law for its own selection, integration, or use of those services.

5. Your Journal Content

As between you and Shylder, you retain ownership of journal entries, media, files, and other content you create, import, or store using Diurnal (“Your Content”). These Terms do not give Shylder ownership of Your Content.

Diurnal processes Your Content on your device or, when you enable supported backup or sync features, between your device and the application-specific area of your Google Drive. Shylder does not receive or access journal content stored locally on your device or in your Google Drive, and Diurnal does not operate a server that stores that content. This on-device or user-directed Google Drive processing does not transfer ownership of Your Content to Shylder or give Shylder a license to use it.

If you affirmatively include Your Content in feedback, a support request, or another communication sent to Shylder, you grant Shylder a limited, non-exclusive license to receive, reproduce, and use only that submitted content as reasonably necessary to respond to your communication, investigate the issue you reported, comply with law, and maintain related business records. This license ends when those purposes are complete, subject to legally required or reasonably necessary security and records retention. Do not send private journal content unless it is necessary and you intentionally choose to do so.

You represent that you have the rights necessary to create, import, store, export, or share Your Content and that your use of it through Diurnal does not violate applicable law or another person's rights. Do not use Diurnal to unlawfully record another person, infringe intellectual-property or privacy rights, or possess or distribute illegal content.

Diurnal does not publish Your Content or provide a public social feed. If you choose to export or share content, you direct that disclosure and are responsible for the recipients, destination, and consequences. Copies shared outside Diurnal may remain available even after you delete the original from Diurnal.

You may use Diurnal only for lawful purposes and in accordance with these Terms. You may not:

7. Diurnal Subscription

Diurnal Subscription is currently offered as a monthly, automatically renewing subscription. Subject to the conditions below, an active Diurnal Subscription:

The price, currency, taxes, and billing period are displayed in Google Play before you confirm a purchase. We may add, change, or discontinue subscription features or plans as permitted by law, but we will not change the price of an existing subscription without the notice or consent required by Google Play and applicable law.

When you purchase Diurnal Subscription:

You may manage or cancel your subscription through the Subscriptions section of Google Play. Deleting Diurnal, uninstalling it, clearing its data, or deleting journal content does not cancel a subscription. Cancellation ordinarily takes effect at the end of the current paid billing period, and subscription benefits ordinarily remain available until then.

Cancellations and refunds are handled in accordance with Google Play's policies and applicable law, including any mandatory cancellation, withdrawal, or refund rights. Except where required by law or permitted under Google Play's refund policy, payments are non-refundable and we do not provide credits for partially used billing periods. Direct refund requests to Google Play or to Shylder using the contact information in Section 20.

When Google Play confirms that your entitlement has ended, including after the paid period following cancellation or an applicable payment grace period, subscription benefits may end and widget access may be disabled. A refund or revocation may end access earlier under Google Play rules and applicable law. Your locally stored journal content will not be deleted solely because the subscription ends. Content already saved through a subscription feature will remain subject to the storage and deletion provisions of these Terms, but continued access or editing through that subscription feature may require an active subscription. You can use Restore purchases in Diurnal to ask Google Play to restore an eligible active entitlement associated with the applicable Google account.

8. Optional Google Drive Backup and Sync

Google Drive backup and synchronization are optional. If enabled, Diurnal accesses only the Google Drive permissions presented during authorization, including an application-specific storage area. Diurnal backups stored in Google Drive are not encrypted by Diurnal in the current release and are protected by your Google account and Google's security controls. On-device database encryption does not make Google Drive backups encrypted.

Backup and synchronization may be incomplete, delayed, duplicated, interrupted, or unavailable because of connectivity, storage limits, account changes, permission changes, Google service behavior, software defects, conflicting device changes, or other causes. A synchronization feature is not a substitute for maintaining an independent backup or export.

You may disconnect Google Drive or use Diurnal's deletion tools to request deletion of supported cloud backup data. Uninstalling Diurnal alone does not delete data already stored in Google Drive. Cloud deletion may fail if Diurnal cannot authenticate to the relevant Google account or reach Google Drive; verify deletion in your Google account when important.

9. Imports, Exports, Sharing, and Location Information

Imported data may be incomplete, reformatted, duplicated, unsupported, or incorrectly interpreted because third-party export formats can change. Review imported content before relying on it. Exported files and shared content may be unencrypted and readable by any person or application that receives access. You are responsible for protecting exported and shared copies.

Maps, coordinates, geocoding, and place names may be delayed, inaccurate, or unavailable. Do not rely on Diurnal for navigation, emergency response, personal safety, legal proof of location, or any use requiring precise or real-time location information.

10. Wellness and Emergency Disclaimer

Diurnal is a general-purpose journaling and reflection tool. Journaling prompts, mood features, statistics, reminders, and other content are provided for personal organization and reflection only. Diurnal does not provide medical, mental-health, psychological, diagnostic, therapeutic, legal, or other professional advice, and it is not a substitute for a qualified professional.

Diurnal is not an emergency or crisis service and does not monitor journal entries for signs of danger. If you believe you or another person may be in immediate danger, contact local emergency services or an appropriate crisis resource. Do not rely on Diurnal to contact anyone or obtain assistance on your behalf.

11. Feedback and Crash Reports

Sending feedback or a crash report is optional. If you choose to send one, Diurnal may transmit a selected category, shortened app-generated installation identifier, language, app version, operating-system information, error details, stack trace, screen name, timestamp, and similar diagnostics as described in the Privacy Policy. Diurnal is designed not to intentionally attach journal entries or media to reports. Crash reports have no free-text message field. The separate feedback form sends the message you enter. Diagnostic text can contain incidental information. Avoid personal information or journal content in feedback and support unless needed and deliberately provided.

If you submit ideas, suggestions, or other feedback about Diurnal, you grant Shylder a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without restriction or compensation. This license applies to the feedback itself, not to Your Content included incidentally or contrary to the instruction above.

12. Ownership of Diurnal

Diurnal, including its software, design, interfaces, branding, text, graphics, journaling prompt collection, and other materials supplied by Shylder, is owned by Shylder or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, Shylder grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Diurnal Android application on Android devices you own or control for Diurnal's intended purposes and subject to any applicable subscription requirement.

No rights are granted except those expressly stated in these Terms. “Diurnal,” Shylder's names and logos, and related branding may not be used without prior written permission. Components distributed under open-source licenses remain subject to their applicable licenses, which may grant rights that differ from these Terms.

13. Third-Party Services and Materials

Diurnal may interoperate with or link to services, software, content, maps, app stores, operating-system features, or websites supplied by third parties. Your use of those items may be governed by separate terms. Shylder cannot guarantee that independent third-party services will remain available or compatible with Diurnal. This does not exclude Shylder's responsibility for its own obligations or mandatory consumer remedies.

If you downloaded Diurnal from Google Play, you also agree to comply with the applicable Google Play terms. Google is not responsible for providing support for Diurnal except to the extent required by Google Play's own terms or applicable law.

Diurnal includes Google Maps features and content. Their use is subject to the then-current Google Maps End User Additional Terms of Service and Google Privacy Policy.

14. Updates, Availability, and Changes to the Services

We may update Diurnal to fix defects, maintain security or compatibility, comply with law, or improve features. We may change or discontinue features for these reasons or because continued provision is no longer reasonably viable. Required security or compatibility updates may affect continued use; we will provide updates and information required by applicable law.

For a change that materially reduces a paid feature during a paid period, we will give reasonable advance notice explaining the change, its effective date, and available cancellation or refund options, except where an urgent legal or security reason requires earlier action. We will provide notice in a form you can retain where required by law; editing a webpage alone will not replace required notice.

Where applicable law gives you a right to reject a modification, terminate without charge, receive a proportionate refund, or obtain another remedy, those rights apply. We will not use this section to remove a paid contractual benefit without any notice or remedy required by law. Price changes remain subject to Google Play rules and applicable notice or consent requirements.

We cannot promise uninterrupted or error-free operation or compatibility with every device or service. If we discontinue a material feature, we will provide legally required remedies and, where reasonably practicable, an opportunity to export affected data. These provisions do not reduce mandatory rights concerning service quality, conformity, repair, price reductions, or refunds.

15. Suspension and Termination

You may stop using Diurnal at any time. You may delete local data using Diurnal's settings or your device controls, and may separately delete cloud backups and cancel subscriptions as described above.

We may suspend or terminate access to network-dependent portions of the Services if you materially or repeatedly violate these Terms, create legal or security risk, misuse our systems, or if required by law. We will ordinarily explain the reason and provide notice and a reasonable opportunity to remedy a breach, unless urgent legal or security circumstances prevent this. Any suspension will be proportionate. If we withdraw a paid service for reasons unrelated to your breach, we will provide any refund or other remedy required by law. Termination does not automatically cancel a Google Play subscription unless the subscription is also canceled through Google Play or by us.

Suspension or termination by Shylder does not authorize Shylder to access or delete journal content stored locally on your device or in your Google Drive. Your locally stored journal content will not be deleted solely because your access to a network-dependent feature or the Services is suspended or terminated. You remain responsible for exporting, backing up, and deleting your data. Access to sync or other network-dependent tools may no longer be available after termination.

Sections that by their nature should survive termination—including ownership, feedback rights, warranty disclaimers, limitations of liability, indemnity, and dispute terms—will survive.

16. IMPORTANT WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIURNAL IS PROVIDED “AS IS” AND “AS AVAILABLE.” SHYLDER AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, DATA PRESERVATION, AND SECURITY.

WE DO NOT WARRANT THAT DIURNAL WILL MEET YOUR REQUIREMENTS; THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT BACKUPS, SYNC, ENCRYPTION, IMPORTS, EXPORTS, RESTORATION, REMINDERS, APP LOCKS, TIME LOCKS, MAPS, OR DELETION WILL ALWAYS WORK; OR THAT DEFECTS OR DATA LOSS WILL BE CORRECTED OR RECOVERABLE.

These disclaimers do not exclude statutory guarantees or obligations to provide services with reasonable care and skill, supply conforming digital content, or provide required updates and remedies where applicable law imposes those obligations. Express commitments forming part of your contract remain subject to applicable law.

17. Limitation of Liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or consumer or data-protection remedy that applicable law does not allow us to exclude or limit.

If you use Diurnal as a consumer, Shylder remains responsible for loss or damage caused by its breach of these Terms or failure to use reasonable care and skill where that loss was reasonably foreseeable. You do not give up mandatory rights relating to loss of data, privacy, service conformity, or compensation. We are not responsible for loss attributable solely to your failure to take reasonable precautions after we clearly explained them, to the extent permitted by law.

To the extent permitted by law, we exclude liability for indirect or consequential losses that were not reasonably foreseeable and for business losses arising from personal, non-commercial use of Diurnal. For claims to which a contractual cap may lawfully and fairly apply, our aggregate liability is limited to the greater of the amount you paid for Diurnal during the 12 months before the event giving rise to the claim or US $100. This cap does not override the protections in the preceding paragraphs or restrict a mandatory remedy.

18. Responsibility for Third-Party Claims

If you use Diurnal on behalf of a business or organization, you agree, to the extent permitted by law, to indemnify Shylder against reasonable, documented losses and costs from third-party claims caused by your knowing unlawful use of Diurnal or material infringement of that third party's rights. This obligation applies only to the extent the loss was caused by your conduct and does not cover Shylder's breach, negligence, or other wrongful conduct. Merely storing journal content does not create an indemnity obligation.

This contractual indemnity does not apply to consumers using Diurnal for personal purposes. Each party remains responsible for its own conduct under applicable law. For a covered claim, Shylder will promptly notify you, take reasonable steps to limit losses, and allow reasonable participation in the defense. No settlement admitting your fault or imposing an obligation on you will be made without your consent.

19. Governing Law and Disputes

These Terms are governed by New Mexico law, subject to mandatory protections under the law that applies to you. If you are a consumer, this choice does not deprive you of protections or court access available under the law of your habitual residence. You may bring a claim in any court available to you under mandatory law. For other disputes, the parties agree to the jurisdiction of the state courts in Bernalillo County, New Mexico, or the United States District Court for the District of New Mexico.

Please contact us using Section 20 so we can try to resolve a dispute informally. We aim to work toward resolution within 30 days. This is voluntary and does not delay or restrict filing a claim, seeking urgent relief, contacting a regulator, or exercising a statutory remedy. The limitation periods provided by applicable law apply; these Terms do not shorten them. These Terms do not impose mandatory arbitration or a class-action waiver.

Do not send private journal entries, media, encryption keys, passcodes, government identification, health information, or other sensitive information unless specifically requested through an appropriate secure method.

21. Changes to These Terms

We may update these Terms from time to time. We will make the updated Terms available within an app update or at the location where these Terms are published and will state a new “Last updated” date. We may also describe material changes in Google Play release notes or on a linked Diurnal webpage. Because Diurnal does not maintain user accounts or a user email list, these general publication methods may be the only notice available unless applicable law requires a different method.

If applicable law requires advance notice or affirmative consent, the change will not apply to you unless and until we provide the required notice or obtain consent through an available and legally sufficient method, such as an app update that presents the revised Terms. For other changes, we will state their effective date and explain any action needed to accept them. Continued use constitutes acceptance only where legally sufficient. If you do not accept a material change, you may stop using the affected service and exercise applicable cancellation or refund rights. Changes do not retroactively alter accrued claims or remove mandatory rights.

22. General Terms

These Terms, the Privacy Policy, and any purchase terms presented to you constitute the entire agreement between you and Shylder concerning Diurnal and supersede prior discussions or agreements about the same subject. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Shylder's failure to enforce a provision is not a waiver.

You may not assign these Terms without Shylder's prior written consent. Shylder may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, provided that the assignee assumes Shylder's obligations. There are no third-party beneficiaries to these Terms except as expressly stated. Headings are for convenience only. The words “including” and “includes” mean “including without limitation.” Electronic notices and records satisfy requirements that communications be in writing to the extent permitted by law.
